For pickup orders, it is your responsibility to collect your order within the designated pickup window. Orders not collected within a reasonable time after the designated pickup time may be disposed of, and no refund will be issued.

• Loss of profits, revenue, data, goodwill, or other intangible losses;
• Damages resulting from your access to or use of, or inability to access or use, the Website or Services;

IN NO EVENT SHALL GIORDANOS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GIORDANOS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

These limitations apply regardless of the legal theory upon which the claim is based, including contract, tort, negligence, strict liability, or otherwise, even if Giordanos has been advised of the possibility of such damages. Some states do not allow limitations on implied warranties or exclusion of incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Giordanos and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

We will attempt to resolve the Dispute informally within thirty (30) days of receiving notice.

15.2 Binding Arbitration

If informal resolution is unsuccessful, you and Giordanos agree that any Dispute shall be resolved by binding arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA), except as otherwise provided herein. The arbitration shall be conducted in English and administered by the AAA. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitration will be conducted on an individual basis. YOU AND GIORDANOS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

15.3 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court for claims within the jurisdictional limit of such court. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information pending arbitration.

15.4 Class Action Waiver

YOU AND GIORDANOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

16. Term and Termination

These Terms shall remain in full force and effect while you use the Website or Services. We reserve the right, at our sole discretion, to suspend or terminate your access to the Website and Services, with or without cause, at any time and without prior notice, including if we believe you have violated these Terms or any applicable law.

No waiver of any provision of these Terms by Giordanos shall be deemed a further or continuing waiver of such provision or any other provision, and any failure by Giordanos to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative of Giordanos to be effective.
